Distance Selling Agreement

This Agreement governs the purchase and use of CarDealerCMS subscription services and is drawn up in compliance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Consumer Rights Act 2015, and all other applicable UK consumer protection legislation.

1 Services, Pricing and Payment

Full details of CarDealerCMS subscription plans, features, and pricing are available on the Platform. All prices are quoted in Pounds Sterling (GBP). Any applicable VAT will be clearly displayed before purchase. The Seller will issue a VAT invoice or receipt to your registered email address following each successful payment.

Promotional or discounted pricing is valid for the period stated at the time of the offer and does not automatically continue beyond that period.

2 Subscription and Automatic Renewal

All CarDealerCMS subscription plans are provided on a recurring basis. By completing a purchase, you acknowledge and agree that:

• The service will automatically renew at the end of each billing period (monthly or annually, as selected)
• The Subscription Fee will be charged automatically to your payment method at the start of each new billing period
• You will be notified by email before each renewal, including the amount to be charged and the next payment date

You may cancel automatic renewal at any time before the start of the next billing period via Account Settings or by emailing [email protected].

3 Your Right to Cancel — 14-Day Cooling-Off Period

If you request that the service begins during the Cooling-Off Period (for example, by ticking a box to start using the Platform immediately):

• You retain the right to cancel within the 14-day Cooling-Off Period
• However, we may deduct a proportionate charge for the service already provided up to the point of cancellation before issuing any refund
• If the digital service has been fully performed with your express consent and acknowledgement that the right to cancel is lost, no refund will be due

To cancel within the Cooling-Off Period, notify us clearly in writing by email before the 14-day period expires. You may use the cancellation form below, though use of the form is not mandatory.

4 Refunds

Where a refund is due, it will be processed to the original payment method within 14 days of receiving your cancellation notice. Any proportionate deduction for services already provided will be clearly communicated before the refund is processed.

Outside of the Cooling-Off Period, subscriptions are non-refundable in respect of any unused portion of the current billing period, unless otherwise required by applicable law.

5 Suspension and Termination by CarDealerCMS

We may suspend or terminate your Account immediately if you breach any material term of this Agreement, use the Platform for any unlawful purpose, fail to resolve a payment failure within 7 days of notification, or if we have reasonable grounds to suspect fraud.

In less serious cases, we will attempt to give you notice and a reasonable opportunity to remedy the breach before suspending or terminating access.

6 Complaints and Dispute Resolution

If you have a complaint, please contact us first. We will acknowledge complaints within 2 business days and aim to resolve them within 14 business days.

If you are a Consumer and the complaint cannot be resolved directly, you may refer the dispute to an approved Alternative Dispute Resolution (ADR) scheme. You also have access to the UK Online Dispute Resolution platform at gov.uk/trading-standards and Citizens Advice on 0808 223 1133.

7 Cancellation Form (Schedule 1)

Complete and return this form only if you wish to cancel within the 14-day Cooling-Off Period. You may also cancel by emailing [email protected] with the subject line 'Cancellation Request'.
